Terms of Service

1. Agreement to These Terms

These Terms of Service (the “Terms”) form a legally binding agreement between you and SafePhone Inc. (“SafePhone,” “Company,” “we,” “us,” or “our”) governing your access to and use of our websites, mobile applications, dashboards, enrollment tools, support resources, and related services that reference these Terms (collectively, the “Services”).

By accessing, downloading, installing, registering for, purchasing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. What SafePhone Is

SafePhone provides subscription-based software tools that allow customers to configure, apply, and manage supported profiles, restrictions, accountability settings, and related administrative features on eligible Android devices through supported enrollment methods and management capabilities made available by the Service.

For personally owned devices:

  • the customer remains the sole owner of the device at all times;
  • the customer decides whether to enroll the device and whether to enable supported restrictions, accountability settings, or related features;
  • profiles, restrictions, and accountability settings are user-initiated or initiated by an authorized account administrator selected by the customer;
  • SafePhone provides software tools and service infrastructure, but does not take ownership of the device and does not become a co-owner, title holder, or custodian of the device.

Some SafePhone functionality for personally owned devices may be available only where supported by the device, Android version, manufacturer implementation, provisioning method, account state, subscription tier, and applicable platform policies. Feature availability and behavior may vary accordingly.

3. Eligibility

You may use the Services only if:

  1. you are at least the age of majority where you live;
  2. you have legal capacity to enter into these Terms;
  3. you are not prohibited from using the Services under applicable law; and
  4. you own each device you enroll or otherwise have all required authority, notice, and consent to enroll, configure, manage, and apply restrictions or accountability features to that device.

4. Authorized Use Only

You may use the Services only for lawful, authorized device administration.

You must not use the Services to:

  • stalk, harass, secretly monitor, or unlawfully track another person;
  • intercept communications unlawfully;
  • enroll or manage a device without required legal authority;
  • misrepresent your authority over a device, account, or user;
  • use the Services for any unlawful or deceptive purpose.

You are solely responsible for determining whether your use is lawful and for providing any required notices or obtaining any required consents.

5. Accounts and Security

You may need to create an account to use some or all features of the Services. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for:

  • protecting your credentials;
  • all activities occurring under your account;
  • ensuring that any other person you authorize has only appropriate access.

6. Subscriptions, Billing, and Auto-Renewal

6.1 Plans

SafePhone may offer Individual, Family, pilot, promotional, or other plans. Plan details shown at checkout or in your billing interface are incorporated into these Terms.

6.2 Auto-Renewal

Unless otherwise stated at checkout, subscriptions automatically renew for successive billing periods until canceled. By subscribing, you authorize recurring charges to your payment method for the applicable fees and taxes.

6.3 Pricing and Notices

Before purchase, we will present material billing terms, including price, billing frequency, renewal status, and cancellation method. We may change pricing for future billing periods with notice as required by law.

6.4 Cancellation

You may cancel using the billing-management features we make available or another cancellation method we provide in compliance with applicable law. Unless otherwise required by law or expressly stated, cancellation takes effect at the end of the current paid term.

6.5 No Device Lockout on Expiry

For personally owned devices, subscription expiration, cancellation, or non-renewal:

  • does not transfer ownership of the device;
  • does not intentionally block your core personal access to the device;
  • does not by itself factory reset the device;
  • does not force immediate unenrollment by default.

6.6 Post-Expiry Limited Access

After expiry, cancellation, or non-renewal, we may suspend, disable, or limit paid or active-management Service features, support, updates, or managed configurations associated with the subscription, provided that doing so does not intentionally impair the core personal functionality of a personally owned device.

Subject to technical limits, you may retain limited dashboard access needed to:

  • view billing and subscription information;
  • renew or reactivate the subscription;
  • view device information in read-only form;
  • view and remove applied profiles or restrictions;
  • view users and groups in read-only form;
  • view and remove accountability partners;
  • voluntarily unenroll devices at your convenience;
  • understand the current state of the account and managed devices.

We will not intentionally use subscription expiry to seize a personally owned device, transfer ownership, cause data loss, or force abrupt unenrollment.

6.7 Refunds

Except where required by law, fees are non-refundable once charged. Nothing in these Terms limits any non-waivable consumer rights you may have.

7. Enrollment, Backup, and Unenrollment

7.1 Enrollment Model

SafePhone may make available supported enrollment methods for eligible Android devices. For personally owned devices, certain managed-device functionality may be available only where supported by the device, provisioning method, technical environment, subscription state, and applicable platform policies. Enrollment may change device settings, administrative controls, profile behavior, restrictions, accountability behavior, or related Service functionality.

7.2 User-Initiated Configuration

Profiles, restrictions, and accountability settings are user-initiated or initiated by an authorized account administrator selected by the customer. We do not apply restrictions for our own independent purpose outside the scope of providing the subscribed Service.

7.3 Backups and Preparation

You are solely responsible for backing up and preparing your device and data before enrollment, configuration changes, unenrollment, resets, or other major actions.

7.4 Voluntary Unenrollment

You may voluntarily unenroll a device using the tools or procedures we make available, subject to technical and security requirements. Unenrollment may remove SafePhone management, managed settings, restrictions, accountability configurations, or related Service functionality. For personally owned devices, unenrollment is not intended to transfer ownership of the device or intentionally erase personal data outside the SafePhone-managed scope, except to the extent a particular enrollment method or platform behavior inherently requires removal of managed configurations or related managed data.

8. Family Plans and Other Administrators

If you use a Family or multi-user plan, the account holder or designated administrator may be able to manage users, devices, and settings within the account.

You are responsible for:

  • choosing trusted administrators;
  • ensuring lawful authority for device management;
  • resolving disputes among users, family members, or partners.

9. Accountability Features

SafePhone may offer optional accountability-related features, including rules for specific apps, domains, or actions. These features may allow an invited accountability partner to view protected-item information. By default, partner-facing views should use a safer, more generic message where supported. If the account owner affirmatively chooses a more detailed setting, partner-facing views may include exact app names and domain names.

Accountability features are optional, user-initiated, and subject to additional feature notices, setup disclosures, and privacy terms. They are not therapy, medical treatment, crisis response, or addiction treatment services.

10. Privacy and Consent

Our Privacy Policy explains how we process personal information. We do not collect information without user consent where consent is required by law or by platform policy. Information collected through the Services is used to provide, maintain, secure, support, and improve the Service within the scope of the user’s subscription and lawful instructions.

11. Prohibited Activities

You may not:

  • use the Services unlawfully;
  • interfere with the Services or related systems;
  • reverse engineer the Services except to the limited extent permitted by law;
  • use the Services to violate another person’s rights;
  • bypass subscription, security, or access controls.

12. Intellectual Property

The Services, including software, interfaces, text, branding, graphics, and other materials, are owned by SafePhone or its licensors and are protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for authorized personal, family, or household administration.

13. Third-Party Services and Technical Dependencies

The Services may rely on Android, Android Enterprise APIs, Google Play, device manufacturers, payment processors, hosting providers, and other third parties. Some Service functionality may also depend on third-party platform rules, supported provisioning methods, API availability, OEM implementation, or other technical dependencies outside SafePhone’s control.

We are not responsible for third-party acts, omissions, policy changes, technical limitations, service interruptions, or compatibility changes. We may modify Service functionality where reasonably necessary to respond to third-party platform requirements, legal requirements, or technical changes.

14. Service Changes and Availability

We may modify, suspend, or discontinue features from time to time. We do not guarantee uninterrupted availability, compatibility with every device, or the continued availability of every feature.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee that:

  • every feature will work on every device;
  • every policy or restriction will prevent all circumvention;
  • every account state transition will eliminate manual steps;
  • any accountability feature will produce any particular behavioral outcome.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAFEPHONE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. the total amount paid by you to SafePhone for the Services in the six (6) months before the event giving rise to the claim; or
  2. USD $100.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

17. Indemnity

To the maximum extent permitted by law, you agree to indemnify and hold harmless SafePhone and its affiliates, officers, directors, employees, and agents against third-party claims arising from:

  • your breach of these Terms;
  • your unlawful or unauthorized use of the Services;
  • your lack of authority, notice, or consent regarding a device or user;
  • your violation of law or another person’s rights.

18. Suspension and Termination

We may suspend or terminate access to all or part of the Services if we reasonably believe your use is unlawful, unauthorized, harmful, deceptive, violates these Terms, or is inconsistent with applicable legal or platform requirements.

You may stop using the Services at any time.

Suspension or termination of the Services does not by itself transfer ownership of a personally owned device to SafePhone.

19. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict of law rules. Nothing in these Terms limits any non-waivable rights you may have under applicable consumer protection law.

20. Disputes

Subject to applicable law, disputes arising out of or relating to these Terms or the Services will be brought in the courts located in Ontario, Canada. Either party may seek temporary or injunctive relief where appropriate.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice in a manner appropriate to the change and as required by law.
